The Chair’s Edge: What Makes a Chair Effective in a PE-Backed Business?
The Chair's Edge private dinner hosted by Renovata in Munich
By

On 14 October 2026, Renovata’s international CEO Practice, represented by colleagues from Germany and the UK, hosted an intimate dinner in Munich with a select group of Chairs, CEOs and private equity investors. The evening centred on a question: Where can a Chair make the greatest difference in a PE-backed business?

Five guiding questions framed the evening, with the discussion shaped by the experiences and perspectives around the table:

  • What matters most in making the relationship between CEO, Chair and investor work?
  • What helps a CEO and Board maintain an open dialogue when the pressure is on?
  • As AI reshapes the private equity landscape, how should Boards balance innovation with execution?
  • Where is the right balance between challenging a CEO and giving them space to lead?
  • Where can a Chair or Board add the most value to a CEO today?

Two themes resonated particularly strongly, while the broader discussion brought further dimensions of effective Chair leadership into focus.

The PE-backed Chair as an enabler of leadership

One of the clearest points of agreement was the Chair’s role in enabling leadership. The CEO brings vision, ambition and drive. The Chair helps turn that ambition into action, not by directing every move, but by creating the conditions for the CEO to lead effectively.

Knowing when to challenge, when to offer support and when to step back is central to that role. Sometimes, the right question can achieve more than a directive.

The Chair as a bridge between management and shareholders

The second theme centred on the Chair’s role in connecting management and investors. Building trust, aligning expectations and establishing a shared understanding of priorities become particularly important at pivotal moments, whether during a refinancing, a leadership transition or a strategic reset.

Perspectives differed on where the Chair’s greatest responsibility lies. For some, the priority is enabling the CEO to lead with confidence. For others, it is managing the shareholder relationship and navigating competing expectations. Effective Chair leadership requires both, with the balance shifting according to the needs of the business.

The founder’s evolving role

Another dimension of the discussion was the role of founders who remain involved following a private equity investment. As ownership and governance structures evolve, the founder’s relationship with the business changes.

Their entrepreneurial instinct, experience and credibility remain valuable assets. Preserving these strengths while establishing clear decision-making responsibilities and protecting the CEO’s authority to lead requires careful judgement. The discussion highlighted the importance of clarity from the outset, while recognising that the right balance may shift as the business matures.

Working across borders: why governance structures matter

The discussion also highlighted how governance structures shape the Chair’s role and influence. Differences between UK, German and US governance practices are particularly relevant in cross-border investment environments. In Germany’s two-tier system, the formal separation between management and supervisory responsibilities creates different expectations of a Chair’s involvement than in a UK-style unitary board.

From our experience working across these markets, the implications extend beyond formal governance requirements. They shape expectations around decision-making authority, the relationship with the CEO and the level of engagement appropriate to the role.

Understanding these differences and aligning expectations early is essential. A Chair’s effectiveness depends not only on individual experience and judgement, but also on the ability to operate within the governance framework of the business.

The influence of culture on board dynamics

Beyond formal governance structures, cultural expectations influence how leadership, challenge and authority are exercised around the Board table. Approaches to communication, constructive disagreement and decision-making can vary across markets and individuals. These differences become particularly relevant when Chairs, CEOs and investors bring experience from different governance environments.

The discussion underscored the importance of recognising these dynamics and establishing a shared understanding of how the Board works together. Effective challenge depends not only on what is said, but also on how it is communicated, received and translated into decisions.

What stays with us

The evening reinforced that effective Chair leadership cannot be defined by a single model. The role is shaped by ownership structure, the maturity of the business, the involvement of founders and the governance environment in which it operates.

Across these different contexts, one principle remains consistent: the Chair’s greatest contribution lies in exercising sound judgement, building trust and creating the conditions for effective leadership in a PE-backed business.

We look forward to building on these perspectives, continuing the exchange with experienced leaders and bringing further voices into the conversation. If you would like to contribute to future discussions or learn more about upcoming events, we would welcome hearing from you.
